This Showroom Display Product Agreement (the "Agreement") outlines the understanding between Thinkspace, Inc. ("Thinkspace") and the undersigned Representative, Dealer, or End User ("Recipient") regarding the placement of Thinkspace product(s) provided at no cost for display or mock-up purposes.

1. Purpose
Thinkspace may provide select product(s) at no cost to support one of the following purposes:
• Rep Showroom: To showcase Thinkspace products for multiple customers in a rep's showroom.
• Dealer Showroom: To support sales efforts with a valued or strategic dealer partner.
• End-User Mock-Up: To allow an end-customer to trial Thinkspace products before purchasing.

2. Ownership & Use
All products provided under this Agreement remain the property of Thinkspace. The Recipient agrees to use the product solely for display, demonstration, or mock-up purposes and not to sell, lease, or otherwise transfer ownership without prior written consent from Thinkspace.

3. Packaging & Care
If the product is provided to an end-user or installed in a showroom, the Recipient agrees to retain the original packaging so the product can be safely repacked and returned if requested. Recipients are expected to take reasonable care to keep the product in good condition and report any damage to Thinkspace within 24 hours of delivery.

4. Freight & Installation
Thinkspace will cover freight costs to the designated location. Installation costs are the responsibility of the Recipient unless otherwise agreed in writing. Thinkspace is not responsible for any installation-related costs, damages, or issues once the product arrives on-site.

5. Returns & Future Placement
At Thinkspace's discretion, products may be relocated, replaced, or returned for other opportunities. If a product is sold, the Recipient agrees to coordinate with Thinkspace regarding resale proceeds or product disposition in good faith.

6. Duration
This Agreement remains in effect until the product is either returned to Thinkspace or purchased outright by the Recipient or their customer, as mutually agreed.

7. General Terms
This Agreement reflects a collaborative partnership and does not create a lease or ownership transfer. Any exceptions to these terms must be approved in writing by Thinkspace. Thinkspace reserves the right to modify or recall products at any time.
